Abstract:
У статті проаналізовано новели законодавства про товариства з обмеженою відповідальністю, згідно яких визначено диспозитивність правових положень закону, що регулюють порядок корпоративного управління в товаристві. Визначено три форми участі у загальних зборах учасників товариства з обмеженою відповідальністю, а саме очна, очно-заочна, заочна. Охарактеризовано способи прийняття рішень загальними зборами учасників товариства та окреслено особливості врегулювання таких питань у модельному статуті.

The article analyzes the novel legislation on limited liability companies. Determined that the feature of the legal provisions of the Law of Ukraine "On limited and additional liability" is that a significant number of rules of the general meeting may be defined by the charter company. The law rules generally are discretionary and can be changed at the discretion of the participants. Identified three forms of participation in the general meeting of the limited liability companies, namely internal, part-time, part-time. According to the full-time participation at general meetings of participants, is a classic form of conduct, general meeting involving joint presence of its members in one place to discuss the agenda. Part-time participation in the general meeting of participants can be conducted in a video conferencing mode, which allows you to see and hear all participants in the general meeting of participants simultaneously. Part-time does not include personal participation of the participants to discuss the agenda of the general meeting, but decisions on the agenda means absentee voting or polling.
The methods of decision making by the general meeting of participants of a limited liability company are described, and the peculiarities of settlement of such issues in the model statute are outlined. Defined rules about the possibility of voting members on the agenda unanimously qualified or simple majority of votes becomes dependent on the range of issues on which the law or the charter provides or that the requirement to determine the results.
The law sets out the provisions for limited liability companies with one participant, namely decisions on matters that fall within the competence of the general meeting of participants, are accepted by such participant individually in the form of a written decision.
