У дисертації здійснено комплексний теоретико-правовий аналіз правового забезпечення відносин у процедурі санації боржника у справах про банкрутство та розв’язано наукове завдання, яке полягає у формулюванні нових теоретико-правових підходів та напрацювання науково обґрунтованих практичних рекомендацій щодо вдосконалення правового забезпечення відносин у процедурі санації боржника у справах про банкрутство.
У роботі досліджено теоретико-методологічні засади правового забезпечення відносин у процедурі санації у справах про банкрутство. Відзначено дуальність санації, як процедури, що є комплексним економіко-правовим механізмом, який поєднує як економічні, так і суто правові інструменти регулювання, алгоритми та правила. Наголошено, що у санації, так само як і у банкрутстві загалом, тісно переплітаються економічні та правові елементи – адже економічні аспекти цієї процедури є, по суті, її змістом, а правове регулювання – формою. Якщо невдало передбачити економічні заходи з відновлення платоспроможності боржника, то санація виявиться неефективною, якщо ж порушити процедуру введення та реалізації процедури санації – то якою ефективною вона б не могла бути за змістом, порушення правової форми матиме наслідком припинення такої процедури.
Санацію у найширшому розумінні запропоновано розглядати як сукупність правових та організаційних механізмів, що мають на меті відновлення платоспроможності боржника та повне або часткове задоволення вимог кредиторів у межах справи про банкрутство або без такого (превентивна реструктуризація), за участі суду та кредиторів. Наголошено, що інституційний сенс санації полягає саме в «колективному» вирішенні проблем підприємства, коли «внутрішні» негаразди переходять межу контрольованості або наближаються до неї, внаслідок чого керівництво боржника або ж кредитори стають вимушеними вдаватись до спеціальних юридичних механізмів, що передбачені законодавцем саме з метою як збереження економічного потенціалу підприємства, так і повного або часткового задоволення кредиторських вимог. Обґрунтовано, що інститут санації є спеціальним інститутом права банкрутства (неплатоспроможності).
Запропоновано виділяти такі принципи інституту санації, як: принцип економічної доцільності – заходи, передбачені планом санації, повинні бути реальними і такими, які можна виконати під час їх практичного застосування, а введення процедури санації повинно мати на меті реальне відновлення платоспроможності боржника, а не формальні дії, спрямовані на затягування справи; принцип збереження боржника як господарюючого суб’єкта – санація є судовою процедурою, у якій акцент зміщено в бік відновлення платоспроможності боржника та яка має на меті збереження його як суб’єкта господарювання; принцип плановості – процедура відбувається не хаотично, а відповідно до погодженого та затвердженого плану санації.
За результатами дослідження правового регулювання відносин реорганізації у США наголошено, що більш сприятливим для збереження потенціалу підприємств могло б стати розширення прав боржника під час проходження процедури санації, як це відбувається у Сполучених Штатах. Поряд із цим, враховуючи непопулярність процедури санації в Україні загалом, а також існування цілих галузей підприємств, що внаслідок військових дій опинились під загрозою, додаткові правові механізми регуляції могли би бути сформовані на основі процедури “cram-down”. Вони дозволили би судам примусово затверджувати план санації попри спротив кредиторів, за наявності низки жорстких умов, зокрема, згоди хоча б одного класу кредиторів, що має право голосу, реалістичності та здійсненності умов плану, відсутності несправедливої дискримінації між класами кредиторів, забезпечення справедливого ставлення до тих класів, які не підтримали план. Доцільним видається і впровадження механізмів посиленого контролю за виконанням такого плану як з боку кредиторів, так і з боку суду. Крім цього, для підвищення ефективності процедур неплатоспроможності релевантним для України є запозичення механізму DIP-фінансування, однак його повноцінне функціонування потребує подальшого розвитку судової практики, фінансового ринку та мінімізації ризиків зловживань у справах про банкрутство.
Обґрунтовано доцільність запозичення німецького досвіду, зокрема, у питанні регулювання оплати послуг арбітражних керуючих залежно від вартості маси активів боржника, яка виявляється та управляється ними у ході процедури санації, що сприяло б підвищенню ефективності їхньої роботи.
Аргументовано, що корисним є досвід Великої Британії, законодавство якої досить ефективно регулює різні аспекти банкрутства, зокрема, формуючи низку процедур, що можуть бути застосовані для збереження підприємства. Вбачається, що такий варіативний підхід міг би бути запозичений і вітчизняним законодавством, особливо враховуючи події останніх років, коли об’єктивні чинники сприяли збільшенню банкрутств в рази. Аргументовано, що розроблення аналогічних процедур відновлення платоспроможності, зокрема, з полегшеним доступом та іншими особливостями (зменшення фінансових вимог, застосування процедури “cram-down” у випадку добросовісності дій боржника та відсутності ознак неефективного управління тощо) могло б стати корисним напрацюванням, в тому числі, аби збільшити шанс неплатоспроможних підприємств на виживання.
Досліджено місце процедури санації у системі відновлювальних процедур, передбачених законодавством про банкрутство. Запропоновано відновлювальні процедури, передбачені законодавством про банкрутство, визначити як судові процедури (санація та реструктуризація боргів фізичної особи) та досудові процедури (превентивна реструктуризація), що застосовуються у передбаченому КУзПБ порядку до фізичних та юридичних осіб, які перебувають у стані неплатоспроможності, з метою відновлення їх платоспроможності, погашення вимог кредиторів та недопущення визнання боржника банкрутом.
Досліджено учасників відносин у процедурі санації у справах про банкрутство. Аргументовано поділ учасників процедури санації на обов’язкових та ситуативних. До обов’язкових віднесено, у першу чергу, боржника, кредиторів та керуючого санацією. Також обґрунтовано віднесення до обов’язкових учасників господарського суду, у провадженні якого перебуває справа про банкрутство. При цьому наголошено, що роль суду, як учасника справи про банкрутство в цілому, так і процедури санації зокрема, суттєво відрізняється від інших учасників, а саме – у нього відсутній інтерес у справі про банкрутство, на відміну від інших обов’язкових учасників, у яких такий інтерес наявний. Наголошено, що природа статусу боржника у справі про банкрутство подвійна: з одного боку, боржник є суб’єктом такої справи, що наділяється як правом ініціювати відповідне провадження щодо себе, так і рядом прав під час застосування до нього процедур банкрутства; з іншого ж боку – боржник виступає свого роду об’єктом у справі про банкрутство, адже саме на нього спрямовуються всі заходи, що застосовуються у межах справи про банкрутство.
Наголошено, що керуючий санацією у процедурі банкрутства наділяється як загальними правами та обов’язками, визначеними для арбітражного керуючого у ст. 12 КУзПБ, так і особливими правами та обов’язками, обумовленими специфікою його правового становища у процедурі санації. Фактично, керуючий санацією стає одноособовим керівником боржника та продовжує здійснювати його господарську діяльність з метою відновлення платоспроможності боржника та задоволення повністю або частково вимог кредиторів. Аргументовано, що керуючий санацією повинен протидіяти зловживанням керівника та посадових осіб боржника, а також виявляти ознаки фіктивного банкрутства. Для виконання цих завдань він може вчиняти дії щодо стягнення заборгованості з осіб, які відповідно до закону або договору несуть з боржником субсидіарну чи солідарну відповідальність, або ж подавати заяви про визнання правочинів (договорів), укладених боржником, недійсними.
Відзначено дуальну природу правового статусу господарського суду у процедурі санації: з одного боку, суд виступає як орган, що здійснює правосуддя, з іншого – як суб’єкт судового контролю за процедурою санації. До напрямів судового контролю у процедурі санації віднесено: контроль за дотриманням прав боржника; контроль за дотриманням прав кредиторів; контроль за діяльністю керуючого санацією; контроль за дотриманням публічних інтересів.
Наголошено на необхідності захисту та забезпечення у процедурі санації у справі про банкрутство справедливого судового розгляду у розрізі не лише прав безпосередніх учасників такої справи, але і інтересів всього суспільства – оскільки, якщо процедура санації у справі про банкрутство використовується боржником та/або кредиторами не з метою відновлення платоспроможності боржника, а задля переслідування інших, прихованих мотивів – наприклад, використання мораторію в якості «парасольки» від виконання зобов’язань боржника або з метою обману податкових органів тощо, то господарський суд повинен належним чином реагувати на такі дії.
Встановлено, що план санації за своєю природою є матеріально-правовим, процесуально-правовим та організаційно-правовим актом, у якому фіксується поетапний шлях виходу боржника зі стану неплатоспроможності з повним чи частковим задоволенням вимог кредиторів. Аргументовано, що умовами введення процедури санації є: наявність волі зборів кредиторів на введення процедури санації; розробка і схвалення кредиторами плану санації боржника; перевірка судом дотримання кредиторами порядку схвалення плану санації. Встановлено, що умови введення процедури санації поєднують у собі два взаємопов’язані елементи: приватноправовий та публічно-правовий. Приватноправовий елемент проявляється насамперед у волі кредиторів, які, оцінюючи фінансовий стан боржника, перспективи відновлення його платоспроможності та доцільність подальшого функціонування, вирішують, чи є сенс у введенні процедури санації. Публічно-правовий елемент полягає у контролі господарського суду, роль якого не зводиться до формального затвердження рішення кредиторів: суд має перевірити не лише те, чи було дотримано порядок схвалення плану санації, чи правильно проведено голосування та чи набрав план необхідну кількість голосів – не менш важливо з’ясувати, чи є запропонований план реальним, чи не має він суто декларативного характеру, чи не зменшує розмір задоволених вимог кредиторів у порівнянні з ліквідаційним сценарієм та чи справді може сприяти відновленню платоспроможності боржника.
Встановлено, що внесення змін до плану санації є важливим елементом процедури відновлення платоспроможності боржника, оскільки дозволяє адаптувати заходи фінансового оздоровлення до змін економічної ситуації, фінансового стану підприємства та інтересів кредиторів. Визначено, що процедура внесення змін до плану санації передбачає кілька етапів: аналіз керуючим санацією ефективності виконання чинного плану санації та визначення причин необхідності його коригування; підготовка пропозицій щодо змін, які можуть стосуватися строків виконання зобов’язань, порядку реалізації майна, умов реструктуризації боргів, залучення інвесторів чи зміни джерел фінансування санаційних заходів; розгляд пропозицій комітетом кредиторів; затвердження змін до плану санації господарським судом. Наголошено, що продовження процедури санації можливе виключно за умови належного виконання плану санації, наявності реальних передумов для відновлення платоспроможності боржника та активної процесуальної позиції зборів кредиторів. Невиконання плану санації, відсутність погашення заборгованості перед кредиторами, а також неприйняття зборами кредиторів рішення щодо подальшої процедури банкрутства у визначений законом строк є підставами для переходу до ліквідаційної процедури.
Аргументовано, що господарський суд не лише наділений правом, а й зобов’язаний забезпечити ефективність процедур банкрутства та захист прав кредиторів у випадках, коли санація фактично втратила свою відновлювальну функцію. Ключовим критерієм для продовження санації є реальна можливість виконання плану санації та задоволення вимог кредиторів, а не наявність формальних підстав для продовження строків процедури.
The dissertation provides a comprehensive theoretical and legal analysis of the legal regulation of relations arising within the debtor rehabilitation (sanatsiia) procedure in bankruptcy proceedings and solves a scientific problem consisting in the development of new theoretical and legal approaches and scientifically substantiated practical recommendations aimed at improving the legal regulation of relations in the debtor rehabilitation procedure in bankruptcy proceedings.
The study examines the theoretical and methodological foundations of legal regulation of relations arising in the rehabilitation procedure within bankruptcy proceedings. The dual nature of rehabilitation is emphasized, as it represents a complex economic and legal mechanism combining both economic and purely legal regulatory instruments, algorithms, and rules. It is noted that, as in bankruptcy proceedings in general, economic and legal elements are closely intertwined in rehabilitation: economic aspects constitute the substantive content of the procedure, while legal regulation serves as its form. If economic measures aimed at restoring the debtor’s solvency are inadequately designed, rehabilitation will prove ineffective. Conversely, if the procedure for introducing and implementing rehabilitation is violated, even the most economically effective rehabilitation measures will be terminated due to non-compliance with legal requirements.
Rehabilitation in its broadest sense is proposed to be understood as a set of legal and organizational mechanisms aimed at restoring a debtor’s solvency and fully or partially satisfying creditors’ claims either within bankruptcy proceedings or outside them (preventive restructuring), with the participation of the court and creditors. It is emphasized that the institutional purpose of rehabilitation lies in the collective resolution of an enterprise’s financial difficulties when internal problems exceed or approach the limits of controllability, requiring the debtor’s management or creditors to resort to special legal mechanisms designed by the legislator to both preserve economic potential of the enterprise and fully or partially satisfy creditors’ claims. It is substantiated that the institution of rehabilitation constitutes a special institution of bankruptcy (insolvency) law.
The dissertation identifies the following principles of the rehabilitation institution: the principle of economic expediency, under which the measures provided for in the rehabilitation plan must be realistic and capable of being implemented in practice, and the initiation of the rehabilitation procedure must aim at the genuine restoration of the debtor’s solvency rather than formal actions intended to delay the proceedings; the principle of preserving the debtor as an economic entity, under which rehabilitation is a court-supervised procedure that shifts the emphasis towards restoring the debtor’s solvency and aims at preserving it as a business entity; and the principle of planning, under which the procedure is not carried out in a chaotic manner but in accordance with an agreed and approved rehabilitation plan.
Based on an analysis of the legal regulation of reorganization relations in the United States, it is argued that expanding the debtor’s rights while undergoing the rehabilitation procedure, as practiced in the United States, would contribute to preserving the economic potential of enterprises. Given the limited popularity of rehabilitation procedures in Ukraine and the difficulties faced by numerous industries due to military actions, additional legal regulatory mechanisms similar to the “cram-down” procedure could be introduced, enabling courts to approve rehabilitation plans, despite creditor opposition, under strict conditions, including the approval of the plan by at least one class of voting creditors, the feasibility and viability of the proposed plan, the absence of unfair discrimination among creditor classes, and the assurance of fair and equitable treatment of those classes that voted against the plan. It would also be advisable to introduce enhanced mechanisms for monitoring the implementation of the plan by both the creditors and the court.
Moreover, in order to enhance the efficiency of bankruptcy procedures, the adoption of the DIP financing mechanism is relevant for Ukraine; however, its full-scale functioning requires further development of judicial practice, the financial market, and the minimization of the risks of abuse in bankruptcy proceedings.
The expediency of adopting certain elements of German experience is also substantiated, regarding the regulation of remuneration for insolvency practitioners based on the value of the debtor’s asset estate identified and managed by them during the rehabilitation procedure, which would contribute to improving the efficiency of their work.
The study also highlights the valuable experience of the United Kingdom, whose insolvency legislation effectively provides multiple procedures for preserving enterprises. Such a flexible approach could be adopted by Ukrainian legislation, particularly in light of the significant increase in bankruptcies caused by recent objective circumstances. It is argued that the development of analogous solvency restoration procedures, in particular those with facilitated access and other specific features (such as reduced financial requirements, the application of a “cram-down” mechanism in cases of the debtor’s good faith conduct and the absence of indications of inefficient management, etc.), could constitute a useful development, including as a means of increasing the chances of survival of insolvent enterprises.
The place of rehabilitation within the system of recovery procedures provided by bankruptcy legislation is examined. The study proposes classifying recovery procedures into judicial procedures (rehabilitation and debt restructuring of individuals) and pre-trial procedures (preventive restructuring), applied in accordance with the Code of Ukraine on Bankruptcy Procedures to individuals and legal entities experiencing insolvency, with the aim of restoring solvency, satisfying creditors’ claims, and preventing the declaration of bankruptcy.
The participants in the relations arising within the rehabilitation procedure in bankruptcy cases have been examined. A distinction is proposed between mandatory and situational participants. The mandatory participants primarily include the debtor, creditors, and the rehabilitation manager. The commercial court hearing the bankruptcy case is also substantiated as a mandatory participant. At the same time, it is emphasized that the role of the court, both in bankruptcy proceedings as a whole and in the rehabilitation procedure in particular, differs substantially from that of other participants, namely in that the court lacks any interest in the case, unlike other mandatory participants who possess such an interest. It is further emphasized that the nature of the debtor’s legal status in bankruptcy proceedings is dual: on the one hand, the debtor is a subject of such proceedings, vested both with the right to initiate the corresponding proceedings against itself as well as a range of rights during the application of bankruptcy procedures; on the other hand, the debtor functions, in a sense, as an object of bankruptcy proceedings, as all measures applied within the proceedings are directed towards it.
It is emphasized that the rehabilitation manager in bankruptcy proceedings is vested with both the general rights and duties established for an insolvency practitioner under Article 12 of the Code of Ukraine on Bankruptcy Procedures and the special rights and duties arising from the specific nature of the manager’s legal status in the rehabilitation procedure. In practice, the rehabilitation manager assumes the role of the debtor’s sole executive and continues to conduct the debtor’s business activities with the objective of restoring the debtor’s solvency and fully or partially satisfying creditors’ claims. It is argued that the rehabilitation manager should prevent abuses by the debtor's director and other officers, as well as identify indications of fraudulent bankruptcy. To fulfil these functions, the rehabilitation manager may take measures to recover debts from persons who, under the law or a contract, bear subsidiary or joint and several liability together with the debtor, or file applications seeking the invalidation of transactions (contracts) concluded by the debtor.
The dual nature of the commercial court’s legal status within rehabilitation proceedings is highlighted. On the one hand, the court acts as a body administering justice; on the other, it serves as an entity exercising judicial supervision over the rehabilitation procedure. The principal areas of judicial supervision in the rehabilitation procedure are identified as: supervision over the protection of the debtor's rights; supervision over the protection of creditors' rights; supervision over the activities of the rehabilitation manager; and supervision over the protection of the public interest.
It has been emphasized that, in restructuring proceedings within bankruptcy cases, it is necessary to safeguard and ensure a fair trial not only with respect to the rights of the direct participants in such proceedings, but also with due regard to the interests of society as a whole. This is because, where the rehabilitation procedure is used by the debtor and/or creditors not for the purpose of restoring the debtor's solvency but rather to pursue other concealed objectives, such as using the moratorium as a “shield” against the performance of the debtor's obligations or to mislead the tax authorities, the commercial court should respond appropriately to such conduct.
The study establishes that the rehabilitation plan constitutes a substantive legal act, a procedural legal act, and an organizational legal act that outlines a step-by-step roadmap for overcoming insolvency with full or partial satisfaction of creditors’ claims. The conditions for introducing rehabilitation are identified as: the will of the creditors’ meeting to initiate rehabilitation, the preparation and approval of a rehabilitation plan, and judicial verification of compliance with approval procedures. These conditions combine private-law and public-law elements. The private-law element is primarily reflected in the creditors' autonomy to decide, after assessing the debtor's financial position, the prospects for restoring its solvency, and the feasibility of its continued operation, whether the rehabilitation procedure should be commenced. The public-law element is manifested in the supervisory role of the commercial court, whose function extends beyond the mere formal approval of the creditors' decision. The court must verify not only whether the procedure for approving the rehabilitation plan has been complied with, whether the voting has been properly conducted, and whether the plan has received the requisite majority of votes, but also whether the proposed plan is realistic rather than merely declaratory, whether it does not provide for a lower level of satisfaction of creditors' claims than would be achieved in liquidation, and whether it is genuinely capable of restoring the debtor's solvency.
It is further established that amendments to the rehabilitation plan constitute an important element of the debtor's solvency restoration procedure, as they make it possible to adapt rehabilitation measures to changes in economic conditions, the debtor's financial position, and the interests of creditors. It is determined that the procedure for amending the rehabilitation plan comprises several stages: an assessment by the rehabilitation manager of the effectiveness of the implementation of the existing rehabilitation plan and identification of the reasons necessitating its amendment; preparation of proposed amendments, which may relate to the time limits for the performance of obligations, the procedure for the disposal of assets, the terms of debt restructuring, the involvement of investors, or changes to the sources of financing for rehabilitation measures; consideration of the proposed amendments by the creditors' committee; and approval of the amendments to the rehabilitation plan by the commercial court. It is emphasized that the continuation of the rehabilitation procedure is possible only where the rehabilitation plan is being duly implemented, there are genuine prospects for restoring the debtor's solvency, and the creditors' meeting maintains an active procedural position. Failure to implement the rehabilitation plan, failure to satisfy creditors' claims, as well as the failure of the creditors' meeting to adopt, within the statutory time limit, a decision on the subsequent bankruptcy procedure constitute grounds for commencing the liquidation procedure.
It is argued that the commercial court is not only entitled but also obliged to ensure the effectiveness of bankruptcy procedures and the protection of creditors’ rights in cases where rehabilitation has effectively lost its restorative function. The key criterion for the continuation of rehabilitation is the real possibility of implementing the rehabilitation plan and satisfying creditors’ claims, rather than the existence of formal grounds for extending the procedural time limits.
