Дисертація є сучасним науковим дослідженням, яке окреслює поняття та організаційно-правові форми господарських товариств; визначає право компаній ЄС та встановлює еволюцію регулювання перетворення господарських товариств в Україні; виокремлює підстави та етапи перетворення господарських товариств; визначає правове регулювання корпоративних відносин, зобов’язань та окремих видів господарських товариств при їх перетворенні; встановлює напрями адаптації законодавства України до права компаній ЄС, а також засоби державного регулювання господарської діяльності при перетворенні господарських товариств.
Уперше визначено господарсько-правовий механізм регулювання перетворення господарського товариства як послідовність встановлених законом етапів зміни його організаційно-правової форми, що забезпечує збереження суб’єкта господарсько-правових відносин шляхом юридичного припинення однієї юридичної особи та створення нової, яка є правонаступником усіх його прав та обов’язків. Встановлено особливості перетворення господарського товариства: а) наявність двох етапів – припинення та створення; б) повна передача прав та обов’язків (правонаступництво) від попередньої юридичної особи до новоствореної; в) при припиненні первинної юридичної особи обов’язково складається передавальний акт, та протокол загальних зборів, що засвідчує факт волевиявлення учасників/акціонерів/власників про припинення юридичної особи та подальшу конвертацію часток; г) можливість трансформації правового статусу відповідно до положень галузевого законодавства. Доведено, що передавальний акт є правочином, який фіксує комплекс прав та обов’язків, які передаються від юридичної особи, що припиняється в результаті перетворення, та має юридичне значення для третіх осіб. Обґрунтовано доцільність встановлення презумпції добровільності рішення вищого органу управління/його учасників/вкладників господарського товариства про перетворення, що передбачає їх волевиявлення за відсутності зовнішнього примусу, що розвиває принцип свободи підприємницької діяльності.
Удосконалено поняття перетворення як вид реорганізації юридичної особи, що передбачає зміну її організаційно-правової форми, в результаті якої припиняється первинна юридична особа, та утворюється вторинна юридична особа з переходом до неї усіх прав на майно, прав та обов’язків первинної юридичної особи, а тому в основі перетворення закладено два етапи, що склались в історично-правовому аспекті цього інституту: припинення та створення. Визначено правову сутності перетворення господарського товариства як послідовності волевиявлення учасників/членів/акціонерів товариства шляхом юридично значимих дій та заходів, встановлених законом, у формі рішень його органів управління (за винятком організаційно-правових форм, які не мають органів управління), що спрямовані на зміну організаційно-правової форми господарського товариства, яка виявляється у зміні структури органів управління, виконання вимог закону до установчих документів, щодо обов’язкового повідомлення кредиторів, регуляторних органів у випадках встановлених спеціальним законом. Окреслено межі правового регулювання порядку перетворення господарських товариств: а) встановлення правової процедури перетворення, що забезпечує перехід прав та обов’язків до новоствореного господарського товариства, що з економічного погляду дозволяє зберегти учасника ринку; б) попередження ризиків зловживання монопольним становищем; в) адаптація національних норм права до acquis ЄС. Удосконалено науковий погляд на корпоративний договір як спосіб попередження корпоративних конфліктів під час перетворення, що забезпечує збереження пропорційності часток учасників у разі зміни статуного капіталу, а також дозволяє застосувати медіацію або досудовий порядок розв’язання спорів. Обґрунтувана необхідність унормування в єдину термінологічну систему поняття «суб’єкт господарювання», «господарська організація» та «юридична особа» на рівні національного законодавства (передусім у ЦК України), а також у спеціальних актах, що встановлюють державне регулювання господарювання (в зв’язку з скасуванням ГК України), із забезпеченням узгодження його норм із нормами права компаній ЄС, відносин торгівлі, економічного співробітництва тощо.
Дістала подальшого розвитку періодизація інституту перетворення, яку умовно слід ділити на етапи: а) період дії Цивільного кодексу Східної Галичини 1797 року, який сформулював загальні положення про порядок створення та припинення договірних товариств; період Російської імперії – широко застосовувався термін припинення шляхом ліквідації; б) період дії ЦК УРСР 1922 року – унормовано основні організаційно-правові форми юридичних осіб та порядок їх припинення; в) період дії ЦК УРСР 1963 року – закладено основу поняття реорганізація; г) розпад СРСР спричинив прийняття спеціальних законодавчих актів на етапі припинення Української РСР; ґ) з незалежності України окреслився визначений правовий інститут, а саме з 2003 року – ЦК України, ГК України, які визначили перетворення; д) трансформаційні процеси, що пов’язані із прийняттям ЗУ «Про особливості регулювання діяльності юридичних осіб окремих організаційно-правових форм у перехідний період та об’єднань юридичних осіб». Висловлена теза, що положення про те, що ототожнення приватного підприємства з товариством з обмеженою відповідальністю має обмежувальний характер та суперечить acquis ЄС, зокрема свободі заснування та встановленим організаційно-правовим формам юридичних осіб. Досліджено поняття організаційно-правової форми у підзаконних актах та встановлено існування неузгодженості норм права, що регулюють статус та діяльність юридичних осіб, оскільки для регулювання статусу визначальними є організаційно-правова форма юридичної особи, а для регулювання господарської діяльності – визнання законодавством статусу суб’єкта господарювання чи вид суб’єкта господарювання; така розгалуженість впливає на якість застосування правових норм, що регулюють правовий статус господарських товариств. Дістало подальшого розвитку положення, за яким строк заявлення кредиторами своїх вимог до юридичної особи, що припиняється в порядку перетворення, має становити не менше одного місяця і більше трьох місяців, що не впливатиме на обсяг прав та інтересів кредиторів та дозволить оптимізувати проведення процедурних питань (в тому числі на етапі узгодження дій із органами державного регулювання, якщо закон висуває такі вимоги до відповідної організаційно-правової форми), пов’язаних із перетворенням юридичної особи.
The dissertation is a modern scientific study that outlines the concept and organizational and legal forms of economic societies; defines EU company law and establishes the evolution of the regulation of the transformation of economic societies in Ukraine; identifies the grounds and stages of the transformation of economic societies; defines the legal regulation of corporate relations, obligations and individual types of economic societies during their transformation; establishes the directions of adapting Ukrainian legislation to EU company law, as well as means of state regulation of economic activity during the transformation of economic societies.
For the first time, the economic and legal mechanism for regulating the transformation of an economic society has been defined as a sequence of legally established stages of changing its organizational and legal form, which ensures the preservation of the subject of economic and legal relations by means of the legal termination of one legal entity and the creation of a new one, which is the successor to all its rights and obligations. The features of the transformation of an economic society have been established: a) the presence of two stages – termination and creation; b) the full transfer of rights and obligations (succession) from the previous legal entity to the newly created one; c) upon termination of the primary legal entity, a transfer act and minutes of the general meeting are necessarily drawn up, certifying the fact of the expression of the will of the participants/shareholders/owners on the termination of the legal entity and the subsequent conversion of shares; d) the possibility of transforming the legal status in accordance with the provisions of branch legislation. It is proven that the transfer act is a legal act that records a set of rights and obligations that are transferred from a legal entity that is terminated as a result of transformation, and has legal significance for third parties. The feasibility of establishing a presumption of voluntariness of the decision of the supreme management body/its participants/contributors of an economic society on transformation, which assumes their expression of will in the absence of external coercion, which develops the principle of freedom of entrepreneurial activity, is substantiated.
The concept of transformation as a type of reorganization of a legal entity has been improved, which involves changing its organizational and legal form, as a result of which the primary legal entity is terminated and a secondary legal entity is formed with the transfer to it of all property rights, rights and obligations of the primary legal entity, and therefore the basis of the transformation is two stages that have developed in the historical and legal aspect of this institution: termination and creation. The legal essence of the transformation of an economic society has been determined as a sequence of expression of the will of the participants/members/shareholders of the company through legally significant actions and measures established by law, in the form of decisions of its management bodies (with the exception of organizational and legal forms that do not have management bodies), aimed at changing the organizational and legal form of the economic society, which is manifested in changing the structure of management bodies, fulfilling the requirements of the law for constituent documents, regarding mandatory notification of creditors, regulatory bodies in cases established by a special law. The limits of legal regulation of the procedure for the transformation of an economic societies are outlined: a) establishment of a legal procedure for transformation, which ensures the transfer of rights and obligations to the newly created economic society, which from an economic point of view allows the market participant to be preserved; b) prevention of risks of abuse of monopoly position; c) adaptation of national legal norms to the EU acquis. The scientific view of the corporate agreement as a way of preventing corporate conflicts during transformation is improved, which ensures the preservation of the proportionality of the participants’ shares in the event of a change in the authorized capital, and also allows the use of mediation or a pre-trial procedure for resolving disputes. The need to standardize the concepts of “undertacking”, “economic organization” and “legal entity” into a single terminological system at the level of national legislation (primarily in the Civil Code of Ukraine), as well as in special acts establishing state regulation of business (in connection with the abolition of the Economic Code of Ukraine), ensuring the coordination of its norms with the norms of EU company law, trade relations, economic cooperation, etc. is substantiated.
The periodization of the institution of transformation has received further development, which should be conditionally divided into stages: a) the period of the Civil Code of Eastern Galicia of 1797, which formulated general provisions on the procedure for the creation and termination of contractual partnerships; the period of the Russian Empire - the term of termination by liquidation was widely used; b) the period of the Civil Code of the Ukrainian SSR of 1922 – the main organizational and legal forms of legal entities and the procedure for their termination were regulated; c) the period of the Civil Code of the Ukrainian SSR of 1963 – the basis of the concept of reorganization was laid; d) the collapse of the USSR led to the adoption of special legislative acts at the stage of the termination of the Ukrainian SSR; e) since the independence of Ukraine, a certain legal institution has been outlined, namely, since 2003 – the Civil Code of Ukraine, the Economic Code of Ukraine, which defined transformations; e) transformation processes associated with the adoption of the Law of Ukraine “On the Features of Regulation of the Activities of Legal Entities of Certain Organizational and Legal Forms in the Transitional Period and Associations of Legal Entities”. The thesis is expressed that the provision that the identification of a private enterprise with a limited liability company is restrictive and contradicts the EU acquis, in particular the freedom of establishment and the established organizational and legal forms of legal entities. The concept of organizational and legal form in subordinate legislation is studied and the existence of inconsistency of the legal norms regulating the status and activities of legal entities is established, since for the regulation of status the organizational and legal form of a legal entity is decisive, and for the regulation of economic activity – the recognition by law of the status of an economic entity or the type of economic entity; such ramification affects the quality of the application of legal norms regulating the legal status of economic entities. The provision has been further developed, according to which the period for creditors to file their claims against a legal entity that is being terminated in the process of transformation must be no less than one month and no more than three months, which will not affect the scope of creditors’ rights and interests and will allow for the optimization of procedural issues (including at the stage of coordinating actions with state regulatory authorities, if the law imposes such requirements on the relevant organizational and legal form) related to the transformation of a legal entity.
