У дисертації здійснено комплексний науково-теоретичний аналіз природи, ознак, змісту, фактичного складу та особливостей зобов’язань з набуття майна суб’єктом господарювання без достатніх підстав. Дослідження передбачає виявлення специфіки застосування норм про безпідставне набуття майна у сфері господарювання, що є актуальним в сучасних умовах функціонування господарського обороту, суттєвих змін у правовому регулюванні та необхідності забезпечення правової визначеності при здійсненні господарської діяльності.
Особливої уваги набуває питання безпідставного набуття майна суб’єктами господарювання з огляду на виклики, пов’язані з повномасштабною війною, функціонуванням підприємств в умовах нестабільності та постійного переміщення майна чи виробничих потужностей, а також у контексті завдань повоєнного економічного відновлення та справедливого перерозподілу ресурсів у процесі відбудови країни. Зростає значення правового забезпечення механізмів врегулювання майнових відносин відповідно до європейських правових стандартів, що є необхідною умовою наближення національного законодавства до acquis communautaire в межах процесу євроінтеграції України.
Встановлено, що зобов’язання з набуття майна без достатньої правової підстави є нормативним втіленням загальноправового принципу недопустимості неправомірного збагачення. Закріплена в суспільній правосвідомості ідея про недопустимість збагачення без підстави з часом трансформувалася у відносно самостійну правову категорію – субінститут.
Акцентовано увагу на окремих, найбільш показових історичних етапах становлення та розвитку правового регулювання зобов’язань з безпідставного набуття майна, які справили визначальний вплив на формування сучасного підходу до цієї правової категорії. Охоплено не всю історичну ретроспективу, а лише ті періоди, що мають ключове значення для розуміння генези набуття майна суб’єктом господарювання без достатніх підстав.
У межах дисертаційного дослідження встановлено, що господарське зобов’язання з набуття майна суб’єктом господарювання без достатніх підстав є недоговірним правовідношенням, яке виникає між суб’єктами господарювання (учасниками господарських відносин) у процесі здійснення господарської діяльності. Воно становить основну складову даної категорії, визначає обов’язкову поведінку сторін і спрямоване на відновлення майнової сфери того суб’єкта, за рахунок якого майно було набуте без правових підстав. Сутність даного зобов’язання полягає в обов’язку повернути набуте або відшкодувати його вартість задля відновлення майнового балансу сторін.
За результатами дослідження уперше сформовано підхід до визначення зобов’язань з набуття майна без достатніх підстав як субінституту в межах інституту недоговірних зобов’язань. Констатовано, що у Господарському кодексі України (далі – ГК України) (у редакції до його скасування) подібний субінститут не був нормативно сформований, а регулювання відповідних правовідносин здійснювалося за допомогою бланкетних норм, що не утворювали цілісної системи. Водночас положення глави (далі – гл.) 83 Цивільного кодексу України (далі – ЦК України) містять взаємопов’язані норми, які забезпечують регулювання відповідних правовідносин за рахунок міжгалузевого рівня зв’язку.
З’ясовано, що для визначення вартості безпідставно набутого майна не завжди слід керуватися ринковою чи номінальною вартістю. Наприклад, при визначенні справедливої компенсації за акції, примусово викуплені в міноритарного акціонера, пріоритетною є саме справедлива вартість, яка найбільш точно відображає економічну цінність активу та може не співпадати з ринковою. У роботі доведено, що в умовах, коли повернення майна в натурі є формально можливим, але супроводжується його знеціненням (наприклад, у разі демонтажу обладнання), грошова компенсація має розглядатися не як винятковий, а як належний, ефективний і справедливий спосіб поновлення порушеного правового стану потерпілої сторони.
Проаналізовано правові наслідки отримання доходу в результаті порушення законодавства про захист економічної конкуренції, зокрема у сфері публічних закупівель. Визначено, що антиконкурентна поведінка суб’єктів господарювання у таких випадках призводить до втрати правових підстав для збереження отриманого прибутку, що зумовлює обов’язок його повернення як безпідставно набутої майнової вигоди. Застосування норм щодо безпідставного збагачення при отриманні майнової вигоди як результату правопорушення у сфері економічної конкуренції сприяє формуванню справедливого ринкового середовища й економічної рівноваги.
Акцентовано увагу на специфіці правового статусу суб’єкта господарювання у зобов’язаннях, пов’язаних із безпідставним набуттям майна. Підкреслюється, що господарська правосуб’єктність визначає межі його участі в таких правовідносинах і зумовлює необхідність урахування спеціальної правоздатності при встановленні прав та обов’язків сторін. Саме ця особливість відрізняє відповідні зобов’язання від аналогічних правовідносин за участі фізичних осіб або суб’єктів, що не здійснюють господарську діяльність.
Розглянуто законодавчо визначені обставини неможливості повернення безпідставно набутого майна в натурі, відповідно до положень статті (далі – ст.) 1213 ЦК України. Разом із тим висловлено припущення про допустимість альтернативної форми відшкодування – передачі іншого майна, рівноцінного за вартістю, що узгоджується з загальним принципом свободи у сфері приватного права та відсутністю прямої заборони на такий спосіб відновлення порушених прав. У межах розмежування деліктних та кондикційних вимог проаналізовано роль категорії вини. Встановлено, що вона не завжди є обов’язковою умовою притягнення до деліктної відповідальності. Зокрема, відповідальність можлива й без вини, наприклад, при заподіянні шкоди джерелом підвищеної небезпеки або працівником суб’єкта господарювання. У господарських правовідносинах увага зміщується від дослідження суб’єктивної категорії вини до оцінки загальної поведінки суб’єкта щодо належного виконання прийнятих на себе зобов’язань та вжиття заходів для запобігання негативним наслідкам.
Встановлено, що критерій оплатності не є універсальним і не може слугувати визначальним при розмежуванні віндикаційних та кондикційних вимог. Наявність оплатного правочину не виключає можливості застосування кондикційного інструментарію у випадках, коли майно було набуте за межами відповідного договірного зобов’язання. Зазначено, що сама по собі відплатність не є свідченням добросовісності набувача, що має прикладне значення для суб’єктів господарювання, діяльність яких, як правило, пов’язана з оплатним обігом майна.
У межах дослідження обґрунтовано неможливість застосування механізму двосторонньої реституції, передбаченої ст. 216 ЦК України, до договорів оренди та суборенди у разі їх недійсності (або нікчемності). Дане зумовлено специфікою орендних правовідносин, у межах яких передане в користування майно споживається або використовується у спосіб, що унеможливлює його повернення в натурі, водночас у випадках, коли виконання зобов’язання здійснене лише однією зі сторін, повернення одержаного майна має здійснюватися на підставі положень гл. 83 ЦК України, що регулює зобов’язання з повернення майна, набутого без достатньої правової підстави.
На підставі отриманих висновків удосконалено правове регулювання досліджуваної категорії шляхом пропозиції внесення до спеціального законодавства перехідного періоду окремі положення ст. 175 і 176 скасованого ГК України для забезпечення належного визначення та правового регулювання відповідних зобов’язань. Проаналізовано правову природу зобов’язань, що виникають у зв’язку з безпідставним набуттям майна суб’єктами господарювання. Підкреслено, що господарська діяльність супроводжується виникненням зобов’язань, які потребують належного нормативного врегулювання, відповідно запропоновано внести зміни до ст. 2 Закону України «Про особливості регулювання діяльності юридичних осіб окремих організаційно-правових форм у перехідний період та об’єднань юридичних осіб», зокрема, доповнити її положенням щодо підстав виникнення господарських зобов’язань, у тому числі внаслідок набуття майна суб'єкта господарювання (учасника господарських відносин) за рахунок іншого господарюючого суб’єкта (учасника господарських відносин) без достатніх на те підстав.
В аспекті посилення правового захисту учасників господарського обороту та з огляду на актуальність опосередкованого представництва у сфері господарювання яке нормативно закріплено в Митному кодексі України, запропоновано врегулювання набуття майна при опосередкованому представництві закріпити на рівні ЦК України з урахуванням підходів, закріплених у Draft Common Frame of Reference. Principles, Definitions and Model Rules of European Private Law (далі – DCFR). Зазначена імплементація сприятиме узгодженню національного законодавства з європейськими правовими традиціями та підвищенню ефективності захисту прав учасників господарського обороту.
Проведений порівняльно-правовий аналіз засвідчив як спільні риси, так і концептуальні відмінності у правовому регулюванні зобов’язань з набуття майна без достатніх підстав у національному та зарубіжному законодавстві. Загальною є ідея нарахування відсотків з моменту, коли набувач дізнався або повинен був дізнатися про відсутність правових підстав для отримання майна, хоча в окремих правових системах, зокрема у Квебеку та Нідерландах, орієнтиром для цього слугує момент пред’явлення вимоги або момент самого збагачення. Розглянуто підходи до класифікації таких зобов’язань, що базуються на характері участі сторін у відповідних правовідносинах. Крім того, встановлено певну типологічну спорідненість між кондикційними позовами в англійському, німецькому, французькому та шотландському праві, що свідчить про наявність уніфікованих принципів реституції у межах європейських континентальних та загальних правових традицій. Проаналізовано законодавчі зміни щодо посилення правового захисту добросовісного набувача. Встановлено, що критерій добросовісності суб’єкта господарювання, як набувача, відіграє неоднакову роль у механізмах віндикації та кондикції. Зокрема, у випадку віндикаційного захисту саме добросовісність набувача є ключовим чинником, який визначає можливість витребування майна з чужого незаконного володіння. Водночас у кондикційних зобов’язаннях сам факт добросовісності не впливає на виникнення обов’язку щодо повернення безпідставно набутого майна.
Окремо проаналізовано випадки застосування норм про безпідставне збагачення як додаткового інструменту до реституційних вимог при визнанні договору недійсним. Запропоновано використовувати термін «додаткове», а не «допоміжне» застосування, наголошуючи на специфіці співвідношення загальних і спеціальних норм.
Подальшого розвитку дістало твердження, що перехід майна від одного суб’єкту господарювання до іншого за відсутності правової підстави не змінює приналежності права власності: воно зберігається за первісним, законним власником. Набувач у такому випадку не набуває повноважень власника і не має законних підстав для розпорядження майном, оскільки лише власник має право здійснювати повне господарське панування над річчю.
Розкрито особливості правового підходу до оцінки вартості майна, безпідставно набутого суб’єктом господарювання, з урахуванням правової природи відповідного об’єкта, обґрунтовано, що при визначенні вартості майна, набутого суб’єктом господарювання без належних правових підстав, слід враховувати не лише місце передачі майна від потерпілого боржнику, а й характер ціни, що може підлягати державному регулюванню. Підтримується, що у випадку оцінки майна, визначеного родовими ознаками, орієнтиром слугує ринкова вартість однорідних товарів, тоді як щодо індивідуально визначених або унікальних об’єктів застосовується експертна оцінка.
Звертається увага на подвійний характер майна як об’єкта зобов’язань у сфері господарювання, одночасно як елементу господарського обороту та як юридично значущої складової господарських правовідносин. У дисертації проаналізовано співвідношення зобов’язань з повернення майна, набутого без достатніх правових підстав, із зобов’язаннями з відшкодування шкоди у сфері господарювання. Обґрунтовано, що, попри наявність спільних ознак між кондикційними та деліктними зобов’язаннями, вони залишаються самостійними за своєю правовою природою. Підставою деліктного зобов’язання виступає протиправне діяння, що завдає шкоди, у той час як для виникнення зобов’язання з безпідставного збагачення достатньо самого факту одержання майнової вигоди без належної правової основи. При цьому юридичне значення в кондикційних зобов’язаннях має саме факт майнового збагачення однієї особи за рахунок іншої, що не притаманно деліктним зобов’язанням, у яких акцент робиться на факті завдання шкоди.
Розглянуто твердження, щодо виключення з переліку підстав виникнення господарських зобов’язань такої підстави, як заподіяння шкоди суб’єктом або щодо суб’єкта господарювання, особливо з огляду на скасування ГК України, в якому це положення було закріплене. Визначено доцільним закріплення вичерпного переліку підстав виникнення господарських зобов’язань у ст. 2 Закону України (далі – ЗУ) «Про особливості регулювання діяльності юридичних осіб окремих організаційно-правових форм у перехідний період та об’єднань юридичних осіб», до якого слід включити як набуття майна суб’єктом господарювання без достатньої правової підстави, так і заподіяння шкоди суб’єктом або щодо суб’єкта господарювання. Зазначена пропозиція закріплює основоположні засади формування господарських зобов’язань.
У дисертації розмежовано зобов’язання з повернення безпідставно набутого майна та договірні зобов’язання. Доведено, що кондикційні норми регулюють випадки набуття майна у зв’язку з договором, але поза межами його належного виконання. Розкрито, що ці норми застосовуються не під час виконання договірних обов’язків, а коли виконання має характер, який суперечить змісту договору.
Результати дисертаційного дослідження мають прикладне значення й можуть бути ефективно використані у кількох напрямах:
1) у науковій сфері, для поглибленого аналізу правової природи та особливостей виникнення господарських зобов’язань у зв’язку з набуттям майна без достатніх підстав; 2) у процесі нормотворчої діяльності, з метою вдосконалення чинного законодавства, яке регулює відносини щодо повернення набутого майна суб’єктом господарювання, а також забезпечення правового захисту інтересів учасників господарських правовідносин;
3) у правозастосовній сфері, для розробки правових інструментів, які дозволяють оперативно реагувати на випадки безпідставного збагачення та забезпечувати ефективний захист права власності в господарському обороті;
4) у навчальному процесі у межах викладання господарсько-правових дисциплін та можуть слугувати основою для розробки навчально-методичного забезпечення, підручників і навчальних посібників у галузі господарського права.
The paper provides a comprehensive scientific and theoretical analysis of the nature, characteristics, content, actual composition and features of obligations to acquire assets by a business entity without due cause. The research also includes identifying the specifics of applying the rules on unjustified acquisition of assets in the economic sector, which is relevant in the current conditions of economic turnover under martial law, significant changes in legal regulation and the need to ensure legal certainty in the conduct of economic activities.
The issue of unjustified acquisition of assets by business entities is of particular importance in view of the challenges associated with full-scale war, the functioning of enterprises in conditions of instability and constant relocation of assets or production facilities, as well as in the context of post-war economic recovery and the fair redistribution of resources in the process of rebuilding the country. The importance of legal support for mechanisms for the settlement of property relations in accordance with European legal standards is increasing, which is a necessary condition for bringing national legislation closer to the acquis communautaire within the framework of Ukraine’s European integration process.
It has been established that obligations to acquire assets without cause are the normative embodiment of the general legal principle of the inadmissibility of unjust enrichment. The idea of the inadmissibility of enrichment without cause, which is firmly established in public legal consciousness, has over time transformed into a relatively independent legal category – a sub-institution.
Attention is paid to the most significant historical stages in the formation and development of legal regulation of obligations arising from unjust enrichment, which have had a decisive influence on the formation of the modern approach to this legal category. The historical retrospective does not cover the entire period, but only those periods that are of key importance for understanding the genesis of the acquisition of assets by a business entity without due cause.
Within the thesis research, it has been established that a commercial obligation to acquire assets by a business entity without due cause is a non-contractual legal relationship that arises between business entities (participants in commercial relations) in the course of commercial activity. It constitutes the main component of this category, determines the mandatory behaviour of the parties and is aimed at restoring the property sector of the entity at whose expense the assets were acquired without legal grounds. The essence of this obligation lies in the duty to return the acquired assets or compensate their value in order to restore the property balance of the parties. Based on the results of the study, an approach to determining obligations to acquire assets without due cause as a sub-institute within the institute of non-contractual obligations was formed for the first time. It has been established that in the Civil Code of Ukraine (in the revision prior to its repeal), such a sub-institute was not normatively formed, and the regulation of the relevant legal relations was carried out by means of blanket rules that did not form a coherent system. At the same time, the provisions of Chapter 83 of the Civil Code of Ukraine contain interrelated norms that ensure the regulation of relevant legal relations through inter-sectoral links.
It has been established that the market or nominal value should not always be used to determine the value of unjustifiably acquired assets. For example, when determining fair compensation for shares compulsorily purchased from a minority shareholder, priority is given to fair value, which most accurately reflects the economic value of the asset and may not coincide with market value.
The paper proves that in circumstances where the return of assets in kind is formally possible but accompanied by their depreciation (e.g., in the case of dismantling of equipment), monetary compensation should be considered not as an exceptional but as an appropriate, effective and fair means of restoring the legal status of the injured party.
The legal consequences of obtaining income as a result of a violation of legislation on the protection of economic competition, in particular in the sector of public procurement, have been analysed. It has been determined that anti-competitive behaviour by business entities in such cases leads to the loss of legal grounds for retaining the profits obtained, which entails the obligation to return them as unjust enrichment. The application of rules on unjust enrichment when obtaining property benefits as a result of an offence in the sector of economic competition contributes to the formation of a fair market environment and economic balance.
Attention is focused on the specific legal status of a business entity in obligations related to unjust enrichment. It is emphasised that economic legal capacity determines the limits of its participation in such legal relations and necessitates the consideration of special legal capacity when establishing the rights and obligations of the parties. It is this feature that distinguishes the relevant obligations from similar legal relations involving individuals or entities that do not engage in economic activity. The circumstances defined by law in which it is impossible to return unjustly acquired assets in kind, in accordance with Article 1213 of the Civil Code of Ukraine, are considered. At the same time, the assumption is made that an alternative form of compensation is permissible – the transfer of other assets of equal value, which is consistent with the general principle of freedom in the sector of private law and the absence of a direct prohibition on such a method of restoring violated rights.
Within the framework of the distinction between tortious and condictio claims, the role of the category of guilt was analysed. It has been established that it is not always a prerequisite for tortious liability. In particular, liability is possible even without guilt, for example, when damage is caused by a source of increased danger or by an employee of a business entity. In commercial legal relations, the focus is shifting from the study of the subjective category of fault to the assessment of the general behaviour of the entity in terms of the proper performance of its obligations and the measures taken to prevent negative consequences.
It has been established that the criterion of payment is not universal and cannot serve as a determining factor in distinguishing between vindicatory and condictio claims. The existence of a transaction for consideration does not preclude the use of condictio instruments in cases where the assets were acquired outside the relevant contractual obligation. It is noted that reciprocity in itself is not evidence of the acquirer’s good faith, which is of practical importance for business entities whose activities are usually related to the paid circulation of assets.
Within the scope of the study, the impossibility of applying the mechanism of bilateral restitution provided for in Article 216 of the Civil Code of Ukraine to lease and sublease agreements in the event of their invalidity (or nullity) is substantiated. This is due to the specific nature of lease relations, within which the assets transferred for use are consumed or used in a manner that makes it impossible to return it in kind, while in cases where the obligation is performed by only one of the parties, the returned assets shall be returned according to Chapter 83 of the Civil Code of Ukraine, which regulates obligations to return assets acquired without cause. Based on the conclusions reached, the legal regulation of the category under study has been improved by proposing the inclusion of certain provisions of Articles 175 and 176 of the repealed Civil Code of Ukraine in the special legislation of the transition period to ensure the proper definition and legal regulation of the relevant obligations.
The legal nature of obligations arising in connection with the unjustified acquisition of property by business entities has been analysed. It is emphasised that economic activity is accompanied by the emergence of obligations that require proper regulatory regulation, and accordingly, it is proposed to amend Article 2 of the Law of Ukraine On the Peculiarities of Regulating the Activities of Legal Entities of Certain Forms of Incorporation during the Transition Period and Associations of Legal Entities, in particular to supplement it with a provision on the grounds for the emergence of economic obligations, including as a result of the acquisition of assets of a business entity (participant in economic relations) at the expense of another business entity (participant in economic relations) without due cause.
In terms of strengthening the legal protection of participants in economic turnover and given the relevance of indirect representation in the economic sector, which is enshrined in the Customs Code of Ukraine, it is proposed to regulate the acquisition of assets in the case of indirect representation at the level of the Civil Code of Ukraine, taking into account the approaches enshrined in the DCFR. This implementation will contribute to the harmonisation of national legislation with European legal traditions and to improving the protection of the rights of participants in economic transactions.
The comparative legal analysis revealed both common features and conceptual differences in the legal regulation of obligations to acquire assets without due cause in national and foreign legislation. The general idea is to charge interest from the moment when the acquirer learned or should have learned about the absence of legal grounds for obtaining the assets, although in some legal systems, in particular in Quebec and the Netherlands, the point of reference for this is the moment when the claim is made or the moment of enrichment itself. Approaches to the classification of such obligations based on the nature of the parties’ participation in the relevant legal relations are considered. In addition, a certain typological similarity has been established between condictio claims in English, German, French and Scottish law, which indicates the existence of unified principles of restitution within the European continental and common law traditions.
Legislative changes aimed at strengthening the legal protection of bona fide acquirers have been analysed. It has been established that the criterion of good faith of the business entity as the acquirer plays an unequal role in the mechanisms of vindication and condiction. In particular, in the case of vindication protection, it is the good faith of the acquirer that is the key factor determining the possibility of reclaiming assets from unlawful possession by another person. At the same time, in condictio obligations, the mere fact of good faith does not affect the emergence of an obligation to return unjustly acquired property.
Cases of application of the rules on unjust enrichment as an additional instrument to restitution claims when a contract is declared invalid are analysed separately. It is proposed to use the term ‘additional’ rather than ‘auxiliary’ application, emphasising the specificity of the relationship between general and special rules.
The assertion that the transfer of assets from one business entity to another in the absence of a legal basis does not change the ownership of the property: it remains with the original, lawful owner, has been further developed. In such a case, the acquirer does not acquire the powers of the owner and has no legal grounds for disposing of the assets, since only the owner has the right to exercise full economic control over the thing.
The peculiarities of the legal approach to assessing the value of assets unjustifiably acquired by a business entity are revealed, subject to the legal nature of the relevant object, and it is justified that when determining the value of assets acquired by a business entity without proper legal grounds, not only the place of transfer of the assets from the injured party to the debtor should be taken into account, but also the nature of the price, which may be subject to state regulation. It is argued that in the case of valuation of assets determined by generic characteristics, the market value of homogeneous goods serves as a benchmark, while expert valuation is used for individually identified or unique objects.
Attention is drawn to the dual nature of asset as an object of obligations in the economic sector, simultaneously as an element of economic turnover and as a legally significant component of economic legal relations. The thesis analyses the relationship between obligations to return property acquired without cause and obligations to compensate for damage in the economic sector. It is argued that, despite the common features between condictio and tortious obligations, they remain independent in their legal nature. The basis for a tortious obligation is an unlawful act that causes damage, while for an obligation arising from unjust enrichment, the mere fact of obtaining a property benefit without due cause is sufficient. At the same time, the legal significance in condictio obligations lies precisely in the fact of the enrichment of one person at the expense of another, which is not characteristic of tortious obligations, where the emphasis is on the fact of causing damage.
The statement regarding the exclusion from the list of grounds for the emergence of economic obligations of such a ground as causing damage by or to a business entity has been considered, especially in view of the repeal of the Civil Code of Ukraine, in which this provision was enshrined. It is considered expedient to enshrine an exhaustive list of grounds for the emergence of economic obligations in Article 2 of the Law of Ukraine On the Peculiarities of Regulating the Activities of Legal Entities of Certain Forms of Incorporation during the Transition Period and Associations of Legal Entities, which should include both the acquisition of assets by a business entity without due cause, and the causing of damage by or to a business entity. This proposal establishes the fundamental principles for the formation of economic obligations.
The thesis distinguishes between obligations to return unjustly acquired assets and contractual obligations. It has been proven that condictio norms regulate cases of acquisition of assets in connection with a contract but outside the scope of its proper performance. It has been revealed that these rules apply not during the performance of contractual obligations, but when the performance is contrary to the content of the contract.
The results of the thesis research have practical significance and can be effectively used in several areas:
1) in the scientific sector, for an in-depth analysis of the legal nature and peculiarities of the emergence of economic obligations in connection with the acquisition of assets without due cause; 2) in the process of law-making, with a view to improving the applicable laws governing relations concerning the return of acquired assets by a business entity, as well as ensuring legal protection of the interests of participants in commercial legal relations;
3) in the sector of law enforcement, for the development of legal instruments that allow for a prompt response to cases of unjust enrichment and ensure effective protection of property rights in economic turnover;
4) in the educational process within the framework of teaching commercial law disciplines and may serve as a basis for the development of teaching aids, textbooks and manuals in the field of commercial law.
