Необхідність науково-правового дослідження нормотворчої діяльності саморегулівних організацій у сфері міжнародного комерційного арбітражу зумовлена самою природою цієї сфери як особливого виду автономного правопорядку (ordre juridique arbitral). Цей правопорядок формується широкою прецедентною практикою (case law), яка постійно узагальнюється та активно осмислюється на рівні саморегулівних неурядових (non-government) організацій підприємців, практикуючих та академічних юристів.
Актуальність цієї наукової роботи посилюється через те, що доктринальна розробленість концепції саморегулювання виявляється недостатньою саме у сфері арбітражу, на відміну від дослідженості загальних питань саморегулювання, наприклад, у господарській діяльності. Водночас широка практика нормотворчої діяльності саморегулівних організацій, нагромаджена у сфері арбітражу, потребує наукового узагальнення та концептуалізації.
Зокрема, з урахуванням вимог Угоди про асоціацію між Україною та Європейським Союзом у процесі гармонізації законодавства України з правом ЄС, Розпорядженням Кабінету Міністрів України від 10.05.2018 р. № 308-р. схвалено Концепцію реформування інституту саморегулювання в Україні, на основі якої розроблений проект Закону України «Про саморегулівні організації», який знаходиться в процесі ухвалення у ВР України. З набуттям чинності цим Законом необхідне ретельне опрацювання, пов’язаних з ним нормативно-правових актів та актів управління. Цьому може істотно сприяти дане дисертаційне дослідження.
Виходячи з цього, обрана основна мета роботи – виявити нормотворчий потенціал саморегулівних організацій у контексті формування автономного арбітражного правопорядку та розробити на цій основі пропозиції щодо оптимізації їхньої діяльності з урахуванням міжнародного, іноземного та вітчизняного досвіду.
Визначено об’єкт дослідження – процес нормотворчої діяльності саморегулівних організацій у сфері міжнародного комерційного арбітражу в контексті автономного арбітражного правопорядку.
Виокремлено предмет дослідження – норми «м’якого права» та стандарти поведінки, втілені в актах саморегулювання, як результатах нормотворчої діяльності різних міжнародних, іноземних та вітчизняних неурядових організацій у сфері міжнародного комерційного арбітражу.
Дисертація складається зі вступу, 2 розділів, 6 підрозділів, висновків, списку використаних джерел, 3 додатків. У першому розділі розглянуті ідейні засади та історичні передумови саморегулювання та нормотворчої діяльності саморегулівних організацій у сфері арбітражу. Зокрема піддано аналізу загальнотеоретичні концепти правового регулювання, саморегулювання та нормотворчості в праві; еволюція концепту саморегулювання у сфері арбітражу в контексті формування громадянського суспільства; поняття та види саморегулівних організацій, форми їхньої нормотворчості в сучасній доктрині та законодавстві. У другому розділі досліджується міжнародний, зарубіжний та вітчизняний досвід формування та розвитку нормотворчості саморегулівних організацій у сфері арбітражу. Окремо вивчено: нормотворчу діяльність міжнародних неурядових громадських організацій, що діють у сфері арбітражу (на прикладі Міжнародної асоціації юристів – МАЮ); досвід та нормотворчий потенціал сучасних іноземних 4 неурядових організацій юристів, арбітрів та підприємців: (на прикладі Королівського інституту арбітрів у Великій Британії); стан та вдосконалення нормотворчості вітчизняних саморегулівних організацій юристів та підприємців, що діють у сфері арбітражу (на прикладі Української Арбітражної Асоціації – УАА).
За результатами дослідження виокремлюються три групи висновків: (1) загальні висновки в методологічному та теоретико-історичному планах; (2) концептуальні висновки щодо суті нормотворчої діяльності саморегулівних організацій; (3) праксеологічні висновки щодо вдосконалення нормотворчої діяльності у сфері арбітражу.
Реалізація задуму дослідження більш повно розгортається в багатьох положеннях, що мають різний ступінь наукової новизни.
Загалом наукова новизна одержаних результатів полягає головним чином у тому, що дисертація є першим цивілістичним дослідженням в Україні, яке присвячене саморегулюванню в арбітражі.
Так, уперше принципово переглянуто зміст поняття «арбітражна юрисдикція» і піддано конструктивній критиці доцільність його використання для характеристики правової природи арбітражу. На цій основі запропоновано розглядати регулювання та саморегулювання в межах «арбітражного правопорядку» (ordre juridique arbitral), концептуально обґрунтованого представниками французької школи міжнародного арбітражу. У зв’язку з цим, недоречними визнані також спроби використання поняття «арбітражна юрисдикція» конкуруючим щодо державної юрисдикції.
У вітчизняній доктрині арбітражу вперше запропоновано використовувати низку раніше не операціоналізованих іноземних термінів і понять, таких як: «арбітражний правопорядок» (Arbitral Legal Order), «арбітражне прецедентне право» (Arbitral Case Law), «юридичність арбітражу» (Juridicity of Arbitration), «метод регулювання на основі транснаціональних правил» (Transnational Rules Method), «квазізаконодавче формулювання правил» (the quasi-legislative formulation of rules), за допомогою яких у дисертації вдалося отримати істотне прирощення нового знання про природу та сутність нормотворчості саморегулівних організацій у сфері арбітражу з нетрадиційних для вітчизняного правознавства методологічних позицій.
Сформульовано специфіку саморегулівних організацій у сфері арбітражу, яка виявляється у тому, що саморегулівними організаціями є не самі арбітражні трибунали чи арбітражні інституції (установи), а найчастіше – організації, при яких такі арбітражні інституції (установи) утворюються. При цьому у роботі обґрунтовано, що залежно від цілей саморегулівної нормотворчості таких організацій слід розмежовувати поняття нормативного саморегулювання, результати якого переважно втілюються на рівні арбітражного провадження, та інституційного саморегулювання, яке переважно актуалізується під час здійснення процедур керування «материнською» організацією «дочірньою» арбітражною інституцією (установою). Водночас у випадку, коли арбітражна установа є окремою юридичною особою (наприклад, SIAC, HKIAC, LCIA), функції інституційного саморегулювання виконують керівні органи такої арбітражної установи (як правило колегіальні).
Уперше запропоновано класифікацію актів м’якого права (soft law), створених саморегулівними організаціями у сфері арбітражу, залежно від їхньої обов’язковості (квазіюридичної сили). Зокрема, до таких актів віднесено: (1) декларативні акти привернення уваги до актуальних проблем арбітражної теорії та практики; (2) інтерпретаційні акти у сфері арбітражу; (3) рекомендаційні акти у формі: (а) загальних оцінок (оглядів) стану арбітражної практики, а також (b) позиції та рекомендації з окремих питань арбітражної практики; (4) локальні акти обмеженої обов’язковості, до яких віднесено моральніо-етичні кодекси різних категорій осіб в арбітражі, а також окремі стандарти поведінки учасників арбітражу; (5) нормопроєктні акти hard law на основі практики реалізації норм soft law. Це має значно сприяти конкретизації результатів нормотворчості саморегулівних організацій з огляду на їхню експлуативність.
На основі цих нових підходів було істотно удосконалено доктринальні оцінки правових інструментів, розроблених самою міжнародною арбітражною спільнотою без участі держави, в бік їхньої конкретизації. Констатується, що такі інструменти націлені на саморегулювання, консолідацію та автономізацію арбітражу шляхом створення певних універсальних правил. Провідну роль у цьому процесі виконують міжнародні саморегулівні неурядові організації, адже саме вони дають можливість користувачам арбітражу автономно унормовувати ті питання, у яких зацікавлена сама міжнародна арбітражна спільнота.
Як наслідок дістало подальшого розвитку: (1) підходи до вивчення передового досвіду нормотворчої діяльності міжнародних та іноземних неурядових організацій як ефективний метод саморегулювання в арбітражі; (2) узагальнення досвіду нормотворчості саморегулівних організацій у низці малодосліджених в Україні сфер; (3) доктринальні підходи до аналізу інституційної структури та діяльності міжнародних та іноземних саморегулівних організацій, що дозволило встановити, що такі організації мають не лише важливий досвід перегляду власних інструментів актів м’якого права, але й відповідні інституційні і правові механізми для періодичного здійснення такого перегляду та інструменти збору даних про його ефективність, що забезпечує гнучкість та оперативність саморегулювання, його відповідність потребам арбітражної практики та новітнім викликам; (4) пошук найбільш ефективних форм і методів нормотворчої діяльності саморегулівних організацій в контексті вдосконалення арбітражного правопорядку України через їхню участь у громадських обговореннях проектів законів чи інших нормативно- правових актів та у формуванні судової практики.
Практичне значення одержаних результатів дослідження полягає в тому, що вони можуть бути використані: (1) у законотворчій діяльності в процесі оптимізації арбітражного, цивільного та господарського процесуального законодавства, вдосконалення актів саморегулювання окремих громадських організацій та приведення їх у відповідність із Законом України «Про саморегулівні організації» після набуття ним чинності; (2) у науково-дослідницьких цілях для формування підґрунтя наступних наукових розвідок у сфері саморегулювання арбітражу.
The need for a scientific and legal research of the rulemaking activities of self-regulatory organizations in the field of international commercial arbitration is driven by the very nature of this domain as a distinct form of autonomous legal order (ordre juridique arbitral). This legal order is formed by extensive case law, which is continuously systematized and actively analyzed at the level of self-regulatory non-government organizations of entrepreneurs, practicing lawyers, and academics.
The relevance of this research is further underscored by the fact that the doctrinal development of the self-regulation concept remains insufficient specifically in the arbitration sphere, unlike the broader study of general self-regulation issues, including those related to commercial activities. At the same time, the accumulated extensive practice of rulemaking activities within arbitration-related self-regulatory organizations requires scientific generalization and conceptualization.
In particular, given the requirements of the Association Agreement between Ukraine and the European Union concerning the implementation of the Good Governance concept in the process of harmonizing Ukrainian legislation with EU law, the Cabinet of Ministers of Ukraine approved the Concept for Reforming the Institute of Self-Regulation in Ukraine by Decree No. 308-r dated 10 May 2018. Based on this concept, a draft Law of Ukraine “On Self-Regulatory Organizations” has been developed and is currently undergoing the adoption process in the Verkhovna Rada of Ukraine. Once this law enters into force, thorough elaboration of related regulatory and administrative acts will be necessary. This dissertation research is expected to significantly contribute to that effort.
Based on this, the primary aim and tasks of the study is to identify the rulemaking potential of self-regulatory organizations in the context of forming an autonomous arbitral legal order and to develop proposals for optimizing their activities, taking into account international, foreign, and domestic experience.
The object of research is defined as the process of rulemaking activities of self-regulatory organizations in the field of international commercial arbitration within the framework of the autonomous arbitral legal order.
The subject of investigation includes soft law rules and standards of conduct set out in self-regulation acts, as outcomes of rule-making activities by various international, foreign, and domestic non-governmental organizations in the field of international commercial arbitration.
The dissertation consists of an introduction, two sections, six subsections, conclusions, a list of sources used, and addenda. The first section examines the ideological foundations and historical prerequisites of self-regulation and rulemaking activities of self-regulatory organizations in arbitration. It includes an analysis of general theoretical concepts of legal regulation, self-regulation, and rulemaking in law; the evolution of the self-regulation concept in arbitration in the context of civil society development; the definition and types of self-regulatory organizations; and the forms of their rulemaking activities in modern legal doctrine and legislation. The second section explores international, foreign, and domestic experiences in the formation and development of rulemaking by self-regulatory organizations in arbitration. Specific areas of research include the rulemaking activities of international non-governmental organizations operating in arbitration (e.g., the International Bar Association - IBA); the experience and rulemaking potential of modern foreign non-governmental organizations of lawyers, arbitrators, and entrepreneurs (e.g., the Chartered Institute of Arbitrators in the UK); and the state and improvement of rulemaking in domestic self-regulatory organizations of lawyers and entrepreneurs in arbitration sphere (e.g., the Ukrainian Arbitration Association - UAA).
Based on the results of the research, three groups of conclusions are made: (1) general conclusions in methodological and theoretical-historical terms; (2) conceptual conclusions regarding the essence of the rulemaking activities of self-regulatory organizations; (3) praxeological conclusions on improving rulemaking activities in the field of arbitration.
The realization of the research concept is more fully developed through various provisions with differing degrees of scientific novelty.
Overall, the scientific novelty of the obtained results lies primarily in the fact that this dissertation is the first civil law research in Ukraine dedicated to self-regulation in arbitration.
For the first time, the content of the term “arbitration jurisdiction” has been fundamentally reconsidered and its suitability for describing the legal nature of arbitration has been critically assessed. Based on this, it is proposed to examine regulation and self-regulation within the framework of the “arbitral legal order” (ordre juridique arbitral), a concept substantiated by representatives of the French school of international arbitration. Thus, attempts to use the term “arbitration jurisdiction” as a competitor to state jurisdiction are deemed inappropriate.
Within the national doctrine of arbitration, several previously unoperationalized foreign terms and concepts have been introduced for the first time, including: “Arbitral Legal Order”, “Arbitral Case Law”, “Juridicity of Arbitration”, “Transnational Rules Method”, and “the quasi-legislative formulation of rules”. The introduction of these concepts has significantly expanded new knowledge about the nature and essence of the rulemaking activities of self-regulatory organizations in arbitration from methodological positions that are unconventional for Ukrainian legal scholarship.
A pioneering approach has been proposed to define the key specificity of self-regulatory organizations in the field of arbitration, emphasizing that self-regulatory organizations are not the arbitral tribunals or arbitration institutions themselves, but rather the organizations within which such arbitration institutions are established. Given the civil law focus of this research, self-regulatory rulemaking should be distinguished from institutional self-regulation, which has a predominantly administrative-legal nature, with primary attention devoted to normative self-regulation.
For the first time, a classification of soft law acts created by self-regulatory organizations in the field of arbitration has been proposed based on their level of binding effect (quasi-legal force). These acts include: (1) declarative acts drawing attention to pressing issues in arbitration theory and practice; (2) interpretative acts in the field of arbitration; (3) recommendatory acts in the form of: (a) general assessments (reviews) of the state of arbitration practice, as well as (b) positions and recommendations on specific issues of arbitration practice; (4) local acts with limited binding effect, including moral and ethical codes for different categories of actors in arbitration, as well as specific standards of conduct for participants in arbitration; (5) hard law draft acts based on the implementation of soft law rules. This classification is expected to significantly refine the outcomes of rulemaking activities by self-regulatory organizations, considering their practical applicability.
Based on these new approaches, doctrinal assessments of legal instruments developed by the international arbitration community without state involvement have been substantially improved, leading to greater specificity. It is recognized that such instruments are aimed at self-regulation, consolidation, and the autonomy of arbitration from state regulation across various jurisdictions by establishing certain universal rules. These rules can be equally applied in countries with different legal traditions. International self-regulatory non-governmental organizations play a leading role in this process, as they enable arbitration users to collaborate on a neutral platform, allowing autonomous regulation of issues that concern the international arbitration community itself.
As a result, several areas have been further developed: (1) approaches to studying the best practices of leading international and foreign self-regulatory organizations’ rulemaking practices as an effective method of self-regulation in arbitration; (2) generalization of self-regulatory organizations’ rulemaking experience in a range of areas that have been underexplored in Ukraine; (3) doctrinal approaches to analyzing the institutional structure and activities of international and foreign self-regulatory organizations, which made it possible to establish that such organizations not only possess valuable experience in reviewing their own soft law instruments but also have institutional and legal mechanisms for conducting such reviews periodically, along with tools for collecting data on their effectiveness—thus ensuring flexibility and responsiveness of self-regulation to the needs of arbitration practice and emerging challenges; (4) identifying the most effective forms and methods of rulemaking activities for self-regulatory organizations, in the context of improving Ukraine’s arbitral legal order through participation in public discussions of draft laws and regulatory acts, as well as in shaping judicial practice.
The practical significance of the obtained results lies in the fact that the findings can be applied: (1) in legislative activities to optimize arbitration, civil, and commercial procedural legislation, improve self-regulatory acts of specific non-governmental organizations, and align them with the Law of Ukraine “On Self-Regulatory Organizations” after its enactment; (2) in academic research, providing a foundation for further scholarly studies of arbitration self-regulation.
