dc.description.abstract | The article analyzes the legal regulation of a corporate agreement concluded by the participants in a limited liability company. It is noted that the con- cept of a corporate agreement was first introduced into the legislative field by the Law of Ukraine “On Limited and Additional Liability Companies”. The corporate agreement is a legal instrument for the settlement of corporate relations by the members of a company. The members of a company have the right to enter into a corporate agreement among themselves and with the company and third parties, who may be additional parties to the agreement. The subject matter of a corporate agreement is the methods of exercising the corporate rights of the members of a limited liability company. The content of a corporate agreement is confidential and may not be disclosed except as provided by law. When concluding a corporate agreement, the members of a company do not have the right to stipulate the terms of the agreement that contradict the provisions of the statute or the law. Liability under a corporate agreement is determined by the participants in the company from the mea- sures laid down by law or by agreement between the parties to the agreement. | uk_UA |
