The subject matter of a corporate agreement is the methods of exercising the
corporate rights of the members of a limited liability company. The content
of a corporate agreement is confidential and may not be disclosed except as
provided by law. When concluding a corporate agreement, the members of
a company do not have the right to stipulate the terms of the agreement that
contradict the provisions of the statute or the law. Liability under a corporate
agreement is determined by the participants in the company from the mea-
