Види й організаційно-правові форми інвестиційної та інноваційної діяльності

Abstract

Мета: класифікувати основні види й організаційно-правові форми суб’єктів інвестиційної та інноваційної діяльності в умовах трансформації організаційно-правової форми підприємства в Україні. Методика передбачає застосування методів аналогії, порівняння, сходження від абстрактного до конкретного і від складного до простого, методів аналізу та синтезу, узагальнення та ін. Так, застосування методу аналогії дозволило навести алегорії з фізичного світу, де панують закони фізики, та екстраполювати їх на відносини у сфері економіки, де діють об’єктивні економічні закони і суб’єктивні закони у вигляді нормативноправових актів, які розробляються і приймаються центральними органами виконавчої і законодавчої влади, голови держави, місцевими органами виконавчої влади та органами місцевого самоврядування і локальними органами суб’єктів господарювання та їх об’- єднань, що діють в економіці. Результати. Під час дослідження визначено і розділено види та організаційно-правові форми суб’єктів інвестиційної та інноваційної діяльності. Показано, що класифікація видів суб’єктів інвестиційної та інноваційної діяльності випливає із функціонального призначення цих суб’єктів і не передбачає обов’- язкової їх легітимації нормами законодавства. Узагальнено основними видами суб’єктів можуть бути держави, міжнародні організації, об’єднання суб’єктів господарювання (юридичних осіб), самі суб’єкти господарювання (юридичні особи), громадяни й іноземці (фізичні особи). Залежно від функціонального призначення у процесах здійснення інвестиційної та інноваційної діяльності серед названих видів інвестиційної та інноваційної діяльності виділяються інвестор, учасник інвестиційної діяльності, інноваційний центр, технопарк, технополіс, інноваційний бізнес-інкубатор, бізнес-ангел, екосистема стартапів, інноваційна інфраструктура, надавач державної підтримки інноваційної діяльності, національна інноваційна екосистема, стартап, уповноважені органи у сфері інноваційної діяльності, центр спільного розміщення та ін. Наведено класифікацію організаційно-правових форм суб’єктів інвестиційної та інноваційної діяльності: - для індивідуальних учасників – організаційно-правова форма ФОП; - для суб’єктів господарювання (юридичних осіб): 1) організаційно-правові форми господарських товариств – акціонерних, повних, командитних, товариств з обмеженою та товариств із додатковою відповідальністю; 2) організаційно-правові форми виробничих кооперативів; 3) організаційно-правові форми підприємств, установ, організацій; - для об’єднань суб’єктів господарювання (об’єднань юридичних осіб): визначені раніше у главі ХІІ ГК України і такі, що залишилися в актах спеціального законодавства України, організаційно-правові форми об’єднань підприємств (юридичних осіб): асоціації; корпорації; консорціуми; концерни; холдингові компанії; наявні у національному законодавстві інших держав, а також у міжнародному законодавстві форми об’єднань підприємств (юридичних осіб): пули; трести; синдикати; конгломерати та ін., серед яких важливе значення мають утворені у формі корпорації великі ТНК. Наукова новизна полягає у подальшому розвитку пропозиції щодо повернення організаційно-правової форми підприємства у нормативні акти України. Аргументами є поширення організаційно-правової форми підприємства у зарубіжному і міжнародному законодавстві, а також серед суб’єктів економіки (зокрема й у сферах інвестиційної та інноваційної діяльності), у Конституції України та чинних актах загального і спеціального законодавства України, а також у новітньому проєкті закону України «Про підтримку та розвиток інноваційної діяльності» та ін. Практична значимість полягає у можливості внесення змін до законодавства України в частині повернення у правове поле організаційноправової форми підприємства, а також окремих видів суб’єктів інвестиційної та інноваційної діяльності.

Purpose. To classify the main types and organizational and legal forms of investment and innovation entities in the context of the transformation of the organizational and legal form of an enterprise in Ukraine. Methodology. The methodology involves the use of methods of analogy, comparison, convergence from abstract to concrete and from complex to simple, methods of analysis and synthesis, generalization, etc. Thus, the use of the analogy method allowed us to draw allegories from the physical world, where the laws of physics prevail, and extrapolate them to relations in the economic sphere, where objective economic laws and subjective laws operate in the form of regulatory legal acts, which are developed and adopted by central executive and legislative bodies, the head of state, local executive and local selfgovernment bodies, and local bodies of economic entities and their associations operating in the economy. Results: During the study, the types and organizational and legal forms of investment and innovation entities were identified and divided. It was shown that the classifycation of types of investment and innovation entities follows from the functional purpose of these entities and does not provide for their mandatory legitimation by the norms of legislation. In general, the main types of entities can be states, international organizations, associations of economic entities (legal entities), economic entities themselves (legal entities), citizens and foreigners (individuals). Depending on the functional purpose in the processes of investment and innovation activities, among the named types of investment and innovation activities, the following are distinguished: investor, participant in investment activities, innovation center, technopark, technopolis, innovation business incubator, business angel, startup ecosystem, innovation infrastructure, provider of state support for innovation activities, national innovation ecosystem, startup, authorized bodies in the field of innovation activities, colocation center, etc. The classification of organizational and legal forms of investment and innovation activity entities is given: - for individual participants – the organizational and legal form of an individual entrepreneur; - for economic entities (legal entities): 1) organizational and legal forms of business companies – joint-stock, general, limited partnerships, limited partnerships and additional liability companies; 2) organizational and legal forms of production cooperatives; 3) organizational and legal forms of enterprises, institutions, organizations; - for associations of economic entities (associations of legal entities): previously defined in Chapter XII of the Commercial Code of Ukraine and those that remained in acts of special legislation of Ukraine, organizational and legal forms of associations of enterprises (legal entities): associations; corporations; consortiums; concerns; holding companies; forms of associations of enterprises (legal entities) available in the national legislation of other states, as well as in international legislation: pools; trusts; syndicates; conglomerates, etc., among which large TNCs formed in the form of corporations are of great importance. Originality. The scientific novelty lies in the further development of the proposal to return the organizational and legal form of the enterprise to the regulatory acts of Ukraine. The arguments are the spread of the organizational and legal form of the enterprise in foreign and international legislation, as well as among economic entities (including in the spheres of investment and innovation activities), in the Constitution of Ukraine and current acts of general and special legislation of Ukraine, as well as in the latest draft law of Ukraine "On Support and Development of Innovation Activities", etc. The practical significance lies in the possibility of amending the legislation of Ukraine in terms of returning the organizational and legal form of an enterprise, as well as certain types of investment and innovation entities, to the legal field.
