Реорганізація акціонерного товариства шляхом злиття (приєднання) та її вплив на управління

Abstract

Реорганізація акціонерного товариства шляхом злиття та приєднання є одним із ключових механізмів структурної трансформації корпоративного сектору та оптимізації управлінських процесів. Метою дослідження є аналіз механізмів реорганізації акціонерних товариств шляхом злиття та приєднання та оцінка впливу цих процедур на систему корпоративного управління. Методологічною основою дослідження виступають аналіз положень Цивільного кодексу України, Закону України «Про акціонерні товариства» 2022 року та порівняння національного регулювання з вимогами Директиви (ЄС) 2017/1132 щодо прозорості та захисту прав акціонерів. У результаті встановлено, що перехід від укладення договору про злиття (приєднання) до затвердження умов реорганізації загальними зборами акціонерів підсилює роль власників у прийнятті корпоративних рішень та сприяє узгодженню процедур з європейськими стандартами. Зроблено висновок про необхідність подальшої деталізації механізмів оцінки акцій та розкриття інформації.

The reorganization of joint stock companies through mergers and acquisitions is one of the key mechanisms of structural transformation in the corporate sector, aimed at enhancing management efficiency, optimizing business processes, and strengthening a company’s competitive position in the market. Such procedures make it possible to achieve economies of scale, consolidate financial and organizational resources, and increase corporate resilience to external economic challenges. The purpose of this study is to analyze the mechanisms of reorganization of joint stock companies through mergers and acquisitions and to assess the impact of these procedures on the system of corporate governance, taking into account current transformations in Ukraine’s corporate legislation. The methodological framework of the research is based on the analysis of the provisions of the Civil Code of Ukraine, the Law of Ukraine “On Joint Stock Companies” (2022), and a comparative examination of these norms with Directive (EU) 2017/1132, which regulates transparency, shareholder rights protection, and fairness in the exchange of corporate rights during reorganization. Particular attention is paid to the legislative shift from the conclusion of a merger (acquisitions) agreement to the approval of reorganization terms by the general meeting of shareholders. This transition strengthens shareholder participation in strategic management decisions, enhances transparency, and aligns corporate procedures with European standards. The results demonstrate that the updated reorganization model positively affects management transparency and corporate discipline. However, it also requires further refinement of mechanisms for share valuation, ensuring shareholder access to complete and reliable information, and improving independent control procedures. The study concludes that continued harmonization of Ukrainian corporate law with EU law will contribute to enhancing the investment attractiveness of domestic joint stock companies.
